Mergers, acquisitions and sales of companies in Poland

Every merger or sale of a company requires careful planning, consideration of the risks and thorough knowledge of your company.

There is no simple answer to this question, but it is always advisable to consult with the lawyers at the outset. Our assistance may include:

  • preparation and negotiation confidentiality agreements (NDA’s) in Poland;
  • active participation in merger negotiations;
  • cooperation with auditors and property valuers in order to obtain true value of business or property;
  • preparation of transactional documents, including: letters of intent, sale agreement, shareholder agreements; commercial enquiries;
  • analysis of business or offers or alternatively – assistance in their preparation;
  • legal due diligence (property or business);
  • preparation of the internal regulations and policies – or other internal legal acts;
  • representation in the proceedings before the State agencies (Public Administration bodies in Poland) and registry courts;
  • representation in court disputes.

We usually provide a quote for a specific step we intend to take, in the course of the matter (e.g. for providing an opinion on a contract, merger plan, NDA agreement or helping to discuss merger plans and objectives with the buying or selling party).

  • We may offer either a fixed fee for a certain step we take or offer fees calculated on ‘hourly basis for each and individual step e.g. consultations / representation. Our fees start from the 1,500.00 PLN + VAT, for the first few hours of our work (that is approx. 320 Eur / US Dollars). We determine the details and scope individually with each of our Clients,
  • In the case of valuation of the entire project – we will divide it into stages and set an action plan for a specific issue. You will receive a quote for our services, on a stage by stage basis.
  • In a contentious cases we may suggest alternative methods of dispute resolution (negotiation, mediation etc.) if appropriate to try and help achieve an amicable resolution to a dispute.
